‘Corp 101 and 201’ aptly describes Senior Paralegal Dale Proctor’s thorough April 12th BreakfastClub presentation, “Corporate Formations and Transactions.” Ms. Proctor, Coordinator of Corporate Paralegals at Kirkpatrick & Lockhart Nicholson Graham, focused initially on the reasons for incorporating, the appropriate business organization, what state to incorporate in, elements of the incorporation package, and corporate maintenance issues. Transactional issues (the letter of intent, due diligence, financing, the Agreement, pre and post-closing procedures) dominated the latter portion of Ms. Proctor’s talk. The message of the session was to know and to understand your corporate client: be prepared, organized, and in compliance. Ms. Proctor stressed the paralegal’s key role in anticipating the needs of directors, officers, and shareholders. Her comprehensive talk and engaging ways paid huge dividends to all present.
